VEC warrants that its Products are free from material defects in materials or workmanship, and that Services will be performed in a professional and skilled manner. To the extent permitted by law, VEC makes no other warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Specifically, VEC does not warrant that software provided is error-free.
A. Warranty Remedies
In the event of a warranty breach, Customer's sole remedies, at VEC's discretion, are:
1. Repair or replacement of the Product.
2. Re-performance of the Services.
3. Refund of the portion of the price paid by Customer related to the non-conforming Products or Services.
B. Exclusions from Warranty
The warranty does not cover claims resulting from:
1. Unauthorized modification of the Product.
2. Abuse or misuse of the Product.
3. Damage caused by disasters such as fire, flood, wind, or lightning.
C. Warranty Period
The warranty period is 12 months from the date of shipment of the Product or completion of the Service, unless otherwise agreed in writing between VEC and Customer.
This warranty is subject to the terms outlined in Spicer's Terms and Conditions of Sale, and any modifications or exclusions will be in accordance with applicable law.
